Voilà LOCAL · Business Subscription Agreement

This Agreement is between jmBABE Collective LLC (Florida) ("Voilà") and the business that subscribes to use Voilà LOCAL ("Business," "you").
By subscribing, you agree to these terms in addition to our Terms of Service.
1. What you get
Peek Plan ($9.99/mo)

- Enhanced profile + advanced analytics
- Email + chat support (24hr response)

- Unlimited active listings
- Premium profile customization
- Priority support (4hr response)
- Top-of-feed eligibility
- Wish System (see what consumers in your area are wishing for)
- All 6 listing types (Don't Blink, Last Call, My Way, Grab It, Look Here, Show Up)
Nationwide Add-On ($99.99/mo, any plan)
- Visibility outside your local market
- Required if you serve customers nationwide

2. Your responsibilities
You agree to:
- Honor your listings — deliver what you advertised, at the price advertised, during the time advertised
- Set clear policies — your own cancellation, no-show, and refund rules (we display these to consumers)
- Operate legally — comply with all licensing, health, tax, and employment laws applicable to your business
- Provide good service — respond to consumer messages, address complaints, maintain quality
- Be honest — accurate descriptions, real photos, no misleading claims
- Stay current — update or remove outdated listings; don't leave dead deals up
You agree NOT to:
- Post listings for businesses you don't operate
- Misrepresent prices, availability, or terms
- Discriminate against customers (race, religion, gender, orientation, etc.)
- Use Voilà to promote anything illegal, harmful, or restricted (firearms, regulated substances, etc.)
- Solicit Voilà users for off-platform business in a way that bypasses the platform
3. Payment
You authorize Voilà to charge your payment method monthly for your chosen plan, plus any add-ons. Payment is in advance for the upcoming billing period.
If your payment fails:
- We retry up to 3 times over 7 days
- We email you with each failed attempt
- After 7 days of failures, your account pauses (listings hidden)
- After 30 days, your account is suspended; data archived for 90 days
You can update your payment method anytime in Settings.
4. Listings and Deal Redemption
How it works
- You post a listing through Voilà
- A Local discovers it and "claims" it
- We notify you (email + SMS) and give them a confirmation code
- They pay you directly when they arrive — Voilà does not process this transaction
- You honor the deal
What this means for you
- Set your own redemption policies (no-shows, late arrivals, modifications)
- Collect payment using whatever methods you accept (cash, card, Apple Pay, etc.)
- Issue refunds yourself if needed
- Voilà is not a party to your transactions with consumers
Plan limit behavior
- If you hit your active listings limit (3 for Peek, 12 for Reveal), you'll see a soft warning when trying to publish another
- You can either: deactivate an existing listing OR upgrade your plan
- We will never automatically charge you for an upgrade — it's always your choice
5. Affiliate referrals
When you sign up via an affiliate
- The affiliate earns 20% of your first month's payment
- They earn 5-15% renewal commission per month while your subscription is active (paid by Voilà, not by you)
- This does not increase your subscription cost in any way
- Affiliates may contact you to check in or offer support
Clawback
- If you cancel within 30 days, the affiliate's initial commission is clawed back
- This is between Voilà and the affiliate; it does not affect you
6. Cancellation
You can cancel anytime:
- Settings → Billing → Cancel Subscription
- Or email jennifer@voila-local.com
- Cancellation takes effect at the end of the current billing period
- You retain full access until that date
- After cancellation: active listings are archived (not deleted); you can reactivate within 90 days
We do not issue refunds for partial months unless required by law or for billing errors.
7. Voilà's responsibilities
We agree to:
- Provide a stable, secure platform
- Process your subscription payments accurately
- Send transactional emails (booking notifications, payment receipts) reliably
- Notify you of platform issues that affect your business
- Respond to support requests within the SLA for your plan
We do not guarantee:
- That every listing will be claimed (depends on quality, location, demand)
- That every claimed deal will result in a paying customer (depends on the consumer)
- That all consumers will leave fair reviews (we moderate but do not edit)
- 100% uptime (we target 99.5%)
8. Reviews
Consumers can leave reviews of your business. We:
- Display all reviews honestly (we do not curate or hide negative reviews)
- Allow you to respond publicly to reviews
- Will remove reviews that violate our community guidelines (hate speech, threats, fake reviews from competitors)
- Will not remove reviews simply because you disagree with them
9. Termination by Voilà
We may terminate your account if:
- You violate these terms or our Terms of Service
- You fail to pay after the 30-day grace period
- You receive serious complaints from multiple consumers
- You engage in fraud or illegal activity
- You consistently fail to honor your listings
We will give you 7 days' notice and an opportunity to fix the issue before terminating, except in cases of fraud or harm.
10. Disputes
If you have a dispute with us:
- Email jennifer@voila-local.com first — we resolve most issues directly
- If unresolved within 30 days, the dispute will be governed by Florida law
- Jurisdiction: Collier County, Florida
If a consumer disputes something with you:
- Try to resolve it directly with them
- We can help mediate but are not a party
- Voilà never holds money for these transactions, so refunds/credits are between you and the consumer
11. Changes to this Agreement
- Material changes: 30 days' email notice
- Minor changes: posted without notice
- Continued subscription = acceptance

By subscribing to a Voilà LOCAL business plan, you confirm:
- You are authorized to bind your business to this Agreement
- You have read and accept these terms
- You have read and accept our Privacy Policy and Terms of Service
- You understand Voilà does not process consumer-to-business payments
- All listings you post will be honest, legal, and honored
